End User License Agreement

1. Agreement to Terms
This End User License Agreement ("EULA") is a legal agreement between you ("User", "you") and Soldi ("Company", "we", "us") for the use of the Soldi platform, including the Soldi dashboard, API, middleware packages, and related services (collectively, the "Service").
By accessing or using the Service, you agree to be bound by this EULA. If you do not agree to these terms, do not use the Service.
2. License Grant
Subject to your compliance with this EULA, we grant you a limited, non-exclusive, non-transferable, revocable license to:
- Access and use the Soldi dashboard to manage your publisher account
- Install and use the Soldi middleware packages (
@soldidev/middleware) in your web applications - Use the Soldi API to integrate with our platform
- Use API keys provided to you for authentication purposes
3. Restrictions
You may not:
- Modify, reverse engineer, decompile, or disassemble the Service
- Use the Service to process transactions for illegal goods or services
- Share, sell, or transfer your API keys to third parties
- Attempt to circumvent rate limits, security measures, or access controls
- Use the Service to send spam, malware, or engage in fraudulent activity
- Sublicense, resell, or redistribute the Service without written permission
- Use the Service in any way that violates applicable laws or regulations
4. Publisher Responsibilities
As a publisher using Soldi, you are responsible for:
- Ensuring you have the right to monetize the content you register with Soldi
- Setting fair and transparent pricing for your content
- Complying with all applicable laws regarding digital content sales
- Maintaining the security of your account credentials and API keys
- Providing accurate information during registration and account setup
5. Payments and Fees
Soldi is free to use. We do not charge platform fees on transactions processed through the Service. Payment processing is handled through third-party providers including Stripe and the x402 protocol (USDC on Base network). Standard payment processor fees (e.g. Stripe transaction fees, blockchain gas fees) are charged by those providers and are not controlled by Soldi.
You are responsible for any taxes applicable to payments you receive through the Service. Soldi does not provide tax advice and is not responsible for your tax obligations.
6. Intellectual Property
The Service, including all software, design, documentation, and trademarks, is owned by Soldi and protected by intellectual property laws. This EULA does not grant you any ownership rights to the Service.
You retain all rights to the content you publish and monetize through Soldi. By using the Service, you grant Soldi a limited license to process and serve your content metadata as needed to facilitate transactions.
7. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. By using the Service, you consent to our data practices as described in the Privacy Policy.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOLDI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR REVENUE, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO SOLDI IN THE 12 MONTHS PRECEDING THE CLAIM.
10. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your license to use the Service will immediately cease. You may terminate your account at any time through the dashboard settings.
Upon termination, any pending payouts will be processed according to our standard disbursement schedule, provided no fraud or policy violations have occurred.
11. Changes to This Agreement
We may update this EULA from time to time. We will notify you of material changes by posting the updated EULA on our website and updating the "Last updated" date. Your continued use of the Service after changes are posted constitutes your acceptance of the revised EULA.
12. Governing Law
This EULA shall be governed by and construed in accordance with the laws of the applicable jurisdiction, without regard to conflict of law principles.
